Terms of Service

1. Acceptance of Terms

By accessing or using Audio Node (“Service”), operated by MakeLabs (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms in full, you must immediately stop using the Service. These Terms constitute a legally binding agreement between you and MakeLabs.

2. Eligibility

You must be at least 18 years of age to use Audio Node. By using the Service, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into a binding contract;
  • You are not located in a country subject to international sanctions or embargoes;
  • You are not on any government prohibited or restricted party list.

We do not knowingly provide the Service to persons under 18. If we discover a user is under 18, we will terminate their account immediately.

3. Account Registration

To access core features of Audio Node, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information;
  • Keep your login credentials confidential and secure;
  • Accept responsibility for all activity that occurs under your account;
  • Notify us immediately at support@audionode.dev if you suspect unauthorized access to your account.

You may not share your account with or transfer it to any other person.

4. Plans, Billing & Payments

Audio Node offers a free tier and paid subscription plans billed monthly in Indian Rupees (INR). By subscribing to a paid plan, you agree that:

  • Your subscription renews automatically each month on your billing date;
  • You authorize MakeLabs to charge your payment method on file each renewal cycle;
  • Prices are subject to change with 30 days' advance notice;
  • All fees are exclusive of taxes; applicable GST or other taxes will be added where required;
  • Payment is processed securely by Stripe; MakeLabs does not store your full card details.

Character allowances are plan-specific, reset on the 1st of each calendar month, and do not roll over. Unused characters are forfeited at the end of each billing cycle.

5. Cancellation & Refunds

You may cancel your subscription at any time through the billing portal in your account settings. Cancellation takes effect at the end of your current billing period; you retain access to paid features until then. All subscription fees are non-refundable except as expressly set out in our Refund Policy. We do not provide prorated refunds for mid-cycle cancellations.

6. Content Ownership & License

Your Input: You retain all ownership rights to the text you submit (“Input”). By submitting Input, you grant MakeLabs a limited, non-exclusive, royalty-free license solely to process that Input to deliver the Service to you.

Your Output: The audio files generated from your Input (“Output”) belong to you, subject to these Terms and the plan you subscribe to:

  • Free plan: Personal, non-commercial use only;
  • Paid plans (Creator, Pro, Studio): Commercial use rights as defined in our Commercial License Terms.

No Training: MakeLabs does not use your Input or Output to train, fine-tune, or improve any AI model. Your content is processed solely to generate your requested audio.

Platform: MakeLabs retains all rights, title, and interest in the Audio Node platform, voice models, underlying technology, and all intellectual property therein.

7. Acceptable Use

You agree to use Audio Node only for lawful purposes and in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. You must not use the Service to generate audio that:

  • Impersonates any real, living person without their explicit written consent;
  • Constitutes disinformation, propaganda, or deepfake content intended to deceive;
  • Defames, harasses, threatens, or abuses any individual or group;
  • Facilitates fraud, scams, robocalls, or spam campaigns;
  • Infringes any copyright, trademark, or other intellectual property right;
  • Violates any applicable law or regulation;
  • Contains child sexual abuse material (CSAM) of any kind.

8. Prohibited Activities

You further agree not to:

  • Resell, sublicense, or redistribute access to Audio Node or the generated voices;
  • Use Output to train, develop, or improve any competing AI voice or TTS model;
  • Attempt to reverse-engineer, decompile, or extract the underlying voice models;
  • Circumvent character limits through multiple accounts, automation, or any other means;
  • Submit sensitive personal data as Input, including health information, government IDs, financial account numbers, or similar sensitive categories;
  • Interfere with or disrupt the Service or servers connected to the Service;
  • Use the Service in a manner that could impose an unreasonable load on our infrastructure.

9. Open-Source AI Model

Audio Node's text-to-speech engine is powered by third-party open-source AI models provided under commercially permissive licenses. Outputs generated through Audio Node may not be unique — other users submitting similar Input may receive similar Output. MakeLabs grants you rights to use Output through your subscription; you should not rely solely on the upstream model's license for your commercial use since you are accessing the model as a service, not deploying it directly.

10. Termination

MakeLabs may suspend or terminate your account and access to the Service, with or without notice, if:

  • You breach any provision of these Terms or our Acceptable Use Policy;
  • You fail to pay fees when due;
  • We are required to do so by law or court order;
  • We discontinue the Service.

Upon termination, your right to use the Service ceases immediately. Unused character allowances and any subscription fees paid for the remainder of a billing cycle are non-refundable upon termination for cause. You may terminate your account at any time through your account settings.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, express or implied. MakeLabs expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that generated audio will meet any specific quality, accuracy, or suitability standard. Voice output quality depends on input text, selected voice, and third-party infrastructure availability.

12. Limitation of Liability

To the maximum extent permitted by applicable law, MakeLabs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from or related to your use of the Service. In no event shall MakeLabs's aggregate liability to you exceed the total amount you paid to MakeLabs in the twelve (12) months immediately preceding the claim, or ₹5,000 (Indian Rupees five thousand), whichever is greater.

13. Indemnification

You agree to defend, indemnify, and hold harmless MakeLabs and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your Input or Output content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including intellectual property rights.

14. DMCA & Copyright

MakeLabs respects intellectual property rights. If you believe any content on our platform infringes your copyright, please see our Copyright / DMCA Policy for our takedown procedure. We will respond to valid notices in accordance with applicable law.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India. For users outside India, you agree to submit to the personal jurisdiction of such courts.

16. Modifications to Terms

MakeLabs reserves the right to modify these Terms at any time. For material changes, we will provide at least 14 days' notice via email or a prominent notice on the Service. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must stop using the Service before the effective date.

17. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund Policy, and Commercial License Terms, constitute the entire agreement between you and MakeLabs regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions will remain in full force.

Waiver: MakeLabs's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms or your account without MakeLabs's prior written consent. MakeLabs may assign these Terms without restriction.
